The quality of corporate governance is a priority for the Corporation, its Board of Directors and its management. The Board believes that corporate governance standards are fundamental to Ovivo Inc.’s continued success and enhancement of long-term shareholder value. The Board believes that effective corporate governance requires consideration of governance matters on an ongoing basis and where appropriate, the adoption of new policies and the update of existing policies to address evolving corporate governance standards and practices. In accordance with Regulation 58-101 respecting disclosure of corporate governance practices, Ovivo Inc. must disclose its corporate governance practices.
President and Chief Executive Officer
Marc Barbeau, CPA, C.A., and Master in Taxation, was appointed President and Chief Executive Officer of Ovivo Inc. in November 2014. Prior to this appointment, he held the positions of Executive Vice President of GLV Inc. and President of Ovivo (Water Treatment Group) since June 2012. Before that, Mr. Barbeau was the Executive Vice President and Chief Financial Officer of GLV Inc. since February 2007. After acquiring 10 years of experience with a major accounting firm, he joined GL&V in 2000 as Director, Treasury and Taxation, also in charge of financing activities. In 2002, he was nominated Vice President, Treasury and Taxation and then, in May 2006, he was promoted to the position of Vice President and Co-Chief Financial Officer (CFO). From 2010 to June 2012, he was based in Europe to assume increased responsibility for the Ovivo European operations further to the acquisition of Christ Water Technology in November 2009. His current duties include overseeing the worldwide operations of Ovivo's business units which are dedicated to delivering premium technologies and solutions to industry and to municipalities for effective water management.
Senior Vice President of Energy
Yves Caouette has joined Ovivo in 2016 and he is Senior Vice President of the Energy Group. He is a Chemical Engineering graduate from Laval University in Canada and he spent over 25 years in the water and wastewater business. Yves started his career in 1989 for Betz Chemicals in Canada before moving to Houston, Texas in 1998 until 2002.
In 2002, he joined GE Water in Paris, France and was promoted to Country Manager France and finally to Regional Executive Western Europe. In September 2008, Yves joined Veolia as Executive Vice President with responsibilities over Asia, Eastern Europe, France and Italy. In 2011, he took the global leadership of Industrial Marketing and Strategic Account Management acquiring a broad knowledge of the various industrial and municipal global markets.
Yves is now based at the Ovivo head office in Montreal, Canada.
Senior Vice President, Business Support
Gwen Klees was appointed Senior Vice President, Business Support in November 2018. Prior thereto, Mrs. Klees was Senior Vice President Legal Affairs and Risk Management since June 2016, Vice President, Legal Affairs, Risk Management and Corporate Secretary since June 2013 and previously Vice President, Legal Affairs and Corporate Secretary since May 2007. She joined Ovivo, previously named GLV Inc. and Groupe Laperrière & Verreault Inc., in 2003 as Director, Legal Affairs and was appointed General Counsel in 2006. Her mandate includes large projects management, mergers, acquisitions and divestitures transactions, information technology and digitalization, insurance and risk management, reorganizations, major litigation management, financing and other commercial matters with key customers, suppliers and partners in addition to being instrumental in strategy orientations. She is responsible for Legal Affairs, Risk Management and IT \ IS. Through her experience as Managing Director of the South Africa operations Gwen increased her operational experience. As Corporate Secretary of the Company, she also plays a key role in the administration of the Board of Directors and critical corporate governance matters. She holds a BCL (Bachelor of Civil Law), is a member of the Québec Bar and more recently received the ASC designation from the College des administrateurs de sociétés.
Senior Vice President of Municipal
Valere Morissette was appointed Senior Vice President of Ovivo’s Municipal business in April 2017. He has been a long standing key contributor to Ovivo and prior to that, to GL&V. He first joined GL&V in 1991, where he held several leadership positions in Canada, USA, Europe and China, as General Manager in the Manufacturing and Pulp and Paper divisions. In 2010, Valere came aboard the Ovivo Division in a Global Procurement and Special Project Management role. He was later promoted to General Manager of the Municipal Operations in Salt Lake City, USA. His commercial and operational skills have proven to be key contributors to the success of the Municipal Division of Ovivo. Valere holds a Bachelor’s degree in Economics from the Université de Sherbrooke, Canada.
Senior Vice President of Electronics
Malek Salamor is Senior Vice President of Electronics for Ovivo. He has more than 20 years of experience in water and wastewater treatment. Mr. Salamor is the former Chief Technology Officer and Chief Executive Officer of the Christ Water Technology group, which was acquired by Ovivo. Since that time, Mr. Salamor has led the global Electronics and Metals group with strong focus on sales, operational excellence and innovation. Based in Switzerland, he has a Master of Science in Civil/Environmental engineering from California State University in Fresno,California.
Vice President, Corporate Finance & Treasury
Pierre-Marc Sarrazin is Vice President, Corporate Finance & Treasury for Ovivo. He is responsible for the corporate development, investor relations, financing and treasury operations on a global basis. He is also leading the company’s financial planning, acquisitions and divestments.
Since joining Ovivo, previously named GLV, in 2011, Pierre-Marc led the implementation of multiple international credit agreements and he significantly contributed in raising Ovivo’s profile with the financial community while the company was publicly traded on the TSX. He also played a key role in the sale of the Pulp and Paper Division, in the take-private of Ovivo by SKion and CDPQ, and in the strategic acquisition of FilterBoxx.
Pierre-Marc cumulates close to twenty years of corporate finance and development experience for several multinational companies. During his career, he held increasing positions of responsibility and led teams responsible for managing the capital structure, treasury and investor relations, while actively participating in a number of strategic transactions, such as M&A, financing and restructurings.
Pierre-Marc holds a Bachelor of Business Administration in Finance and a Master of Science in International Business from HEC Montreal. He also holds the designation of Chartered Financial Analyst.
Charles Taillon, CPA, CA was appointed Vice-President, Accounting in October 2016. Prior to this appointment, he held increasingly senior positions including managing the corporate finance team and serving as a financial director for business units. He joined the company in 2010 as a consolidation coordinator after five years in audit with a major accounting firm.
Since joining Ovivo, he has been involved in the integration of consolidation following the acquisition of Christ Water Technology in November 2009 and the improvement of the internal reporting and of the Management Information of the Corporation. His current duties include responsibility for the financial operations of Ovivo business units worldwide.
President and Chief Executive Officer Ovivo

He was promoted to Vice-President and Chief Financial Officer of the Original Corporation in February 2007 and later served as Executive Vice-President and Chief Financial Officer of the Corporation until June 2012, and then as Executive Vice-President and President of Ovivo until November 28, 2014, on which date he took up his duties as President and Chief Executive Officer of the Corporation. Drawing on his 10 years of experience with a large accounting firm, he joined the Original Corporation in 2000 as Director, Tax and Administration. In 2002, he was appointed Vice-President, Treasury and Tax, and then Vice-President and Co-Chief Financial Officer in May 2006. Mr. Barbeau serves on the Board of Directors of the Ataxia Charlevoix-Saguenay Foundation.

Jürgen Gießmann is Senior Partner/Owner of TRENDS-Consulting, a German-based consulting company. His main areas of activity are strategic management, particularly growth and internationalization strategies, M & A, including post-merger strategies as well as organization and personnel development. He has also served several mandates as Chairman of the Board with renowned German companies.
Prior to founding TRENDS-Consulting, he served as a Member of the Board of Jenoptik (1996 – 2002) Jena, Germany, as well as their Deputy Chairman (2003 – 2005). In his role as Chairman with M+W Group in Stuttgart (2000 – 2006), he was responsible, amongst other things, for the implementation of growth and internationalization strategies in the regions of Asia, USA, Middle East, East Europe and South America; the acquisition and integration of companies within the scope of M&A activities; the execution of re-organisation and restructuring projects, targeting a revitalisation and new positioning; the digitalization of business processes with a focus on Engineering; strategy audits and strategy formulation; modelling of business cases. Through his extensive experience, he has acquired long-term high tech industry expertise.
Jürgen Gießmann graduated in Business Administration from Stuttgart and Nuremberg Universities, with majors in International Management, Human Resources Management and Social Psychology.
Dr. Reinhard Hübner
Dr. Reinhard Hübner is an investment manager at SKion GmbH, the investment company of German entrepreneur Susanne Klatten (an anchor shareholder of BMW, its main holdings being Altana, SGL Carbon, Nordex, Avista Oil and in the water sector Eliquo Water Group, EnviroChemie, Paques, Evodos, MattenPlant, Miranda, Ovivo, and Pyreg). At SKion, Dr. Hübner is responsible for technology-driven investments of which water sector investments are a relevant part. On behalf of SKion, he is also CEO or board member of several of SKion’s water portfolio companies.
Prior to joining SKion in 2010, he worked as a consultant at McKinsey & Company, Inc. for eight years. At McKinsey, he served clients in both operations/supply chain management and the water industry and was a member of McKinsey’s water industry leadership team. His work in the water sector included numerous projects for major water utilities in Europe, the US and Australia including a global water utility benchmarking initiative and also projects for technology providers and EPC companies.
Reinhard Hübner graduated from the Technical University of Berlin where he studied business administration and wrote his doctoral dissertation on manufacturing network design in specialty chemicals. Today, he still teaches operations management and advanced planning at the Technical University of Munich.
Chairman of the Board of Ovivo
David McAusland is a senior partner in the firm of McCarthy Tétrault. He advises corporations, shareholders and entrepreneurs focusing on business development strategies, mergers, acquisitions and divestitures, financings, cross-border transactions, complex negotiations and governance matters.
David has served as a senior executive and director of and advisor to leading corporations. He previously held the position of Executive Vice President, Corporate Development and Chief Legal Officer of Alcan Inc. from 1999 to 2008. Before that, David was the managing partner of a major law firm.
David is a highly experienced corporate director. He currently holds the following corporate director positions: Chairman on the Boards of ATS Automation Tooling Systems inc. and of Montrusco Bolton Investments Inc., Director and Chair of Strategic Opportunities Committee of Cogeco Inc. and Cogeco Cable Inc., Director and Chair of Human Resources Committee of Cascades Inc., Director and Executive Committee Member of McInnis Cement and Director of Khan Resources Inc. He serves also as Chairman on the Boards of Directors of Montreal General Hospital Foundation and of National Circus School Foundation, as a Member of the Faculty Advisory Board, Desautels Faculty of Management of the McGill University and a Member of Accounting Standards Oversight Council Canada.

Justin Méthot is Managing Partner at La Caisse de dépôt et placement du Québec. He is responsible of private investment transactions for Quebec’s large-cap companies. He has cumulated over fifteen years of investment experience, both in Quebec and abroad. Justin holds a Master Degree in Finance from University of Sherbrooke, as well as the title of Chartered Financial Analyst (CFA). He is also Chairman of the Board of Directors of Centre PHILOU, a non-profit organisation offering several specialized services to disabled children.
Rafael Simon is a founder and director of several clean tech start-up companies. He previously was a Partner at VantagePoint Capital Partners, one the world’s leading cleantech VC firms where he led the water investment practice. He also served as COO of ZENON Environmental, one of the world’s leading suppliers of membrane-based water and wastewater filtration technology from 2001 until its acquisition by GE in 2006. Prior to joining ZENON, he worked as a Consultant at McKinsey & Co. where he specialized in corporate growth strategies. Dr. Simon received a Ph.D. in Materials Science & Mineral Engineering from UC Berkeley in 1996.
